Oracle Files to Issue $20 Billion in New Stock and Bonds
Oracle on Monday filed documents to issue new shares and take on more debt to finance its artificial intelligence buildout. According to filings submitted to the U.S. Securities and Exchange Commission, the hyperscale cloud provider will sell $10 billion in common stock and $10 billion in senior notes. Although the financing plan was announced at the company's investor day last week, its shares fell 3% in premarket trading. Oracle said it plans to use the proceeds for general corporate purposes, which may include capital expenditures, debt repayment and future investments. The cloud provider's stock and bonds were already under pressure amid growing investor concern over the heavy debt being taken on to fund AI infrastructure. Oracle's shares are down 33% so far in 2026 and have fallen 50% over the past 12 months.
